Welcome to Ondo ("we," "our," or "us"). Ondo is an AI-powered journaling app designed for self-reflection and personal growth, developed by Onda Labs. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you" or "User") and Onda Labs ("we," "us," "our," or "Company") governing your access to and use of the Ondo mobile application and related services (collectively, the "Service"). PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE.
By creating an account, accessing, or using Ondo, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Eligibility
To use Ondo, you must:
• Be at least 13 years of age (or the minimum age of digital consent in your jurisdiction, if higher);
• Have the legal capacity to enter into a binding agreement;
• Not be prohibited from using the Service under applicable law. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using Ondo on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Account Registration and Security
To access certain features, you must create an account using Apple Sign-In or Google Sign-In.
You agree to:
• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
Description of Our Service
Our Service
Ondo is an AI-powered journaling application designed to support self-reflection and personal growth. The Service may include:
• AI-assisted journaling prompts and reflections;
• Pattern recognition and insights based on your entries;
• Personalization features based on your preferences;
• Premium features available through paid subscriptions.
AI Processing: To provide these features, your journal entries and conversation data are processed by third-party AI services, including Anthropic (Claude) and OpenAI.
These providers process your data solely to deliver the Service. We do not use your data to train their AI models, per their respective API terms of service. All data is encrypted in transit. For full details, see our Privacy Policy: https://www.ondoapp.ai/privacy.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes.
B. Consent to AI Data Processing
By creating an account and using the Service, you acknowledge and consent to the following:
Your journal entries, conversation data, and related profile information are transmitted to and processed by third-party AI service providers, specifically Anthropic and OpenAI, for the sole purpose of delivering the Service’s AI-powered features.
These providers are contractually prohibited from using your data for any purpose other than processing your requests, including model training.
All data transmitted to these providers is encrypted in transit using industry-standard protocols (TLS).
You may withdraw your consent at any time by deleting your account through the app settings, which will permanently delete your data as described in our Privacy Policy (https://www.ondoapp.ai/privacy).
Important Disclaimers Regarding Health and Wellness
Ondo is not a medical or mental health service. Ondo is a journaling and self-reflection tool only. This service does NOT provide:
• Medical advice, diagnosis, or treatment;
• Psychological counseling or therapy;
• Crisis intervention or emergency services;
• Clinical assessments of any kind. AI-generated content within Ondo (including reflections, prompts, and insights) is produced by artificial intelligence and should not be relied upon for health-related decisions. Always consult qualified healthcare professionals for medical or mental health concerns.
If you are experiencing a mental health crisis or thoughts of self-harm, please immediately contact emergency services (911) or a crisis hotline such as the 988 Suicide and Crisis Lifeline.
User Content and Intellectual Property
A. Your Content
You retain ownership of all content you create, upload, or submit through the Service, including journal entries and profile information (“User Content”). By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and display your User Content solely for the purposes of:
Providing and operating the Service;
Generating AI-powered features and reflections, including by transmitting your data to third-party AI processing providers (Anthropic and OpenAI) as described in Section 3;
Improving the Service (using anonymized, aggregated data only).
This license terminates when you delete your account, at which point all your data is permanently deleted as described in our Privacy Policy.
B. Our Content
The Service, including its design, features, AI models, branding, and all other intellectual property, is owned by Onda Labs and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without express written permission.
Acceptable Use Policy
You agree not to use the Service to:
• Violate any applicable law, regulation, or third-party rights;
• Upload content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with or disrupt the Service or servers;
• Use the Service to develop competing products or for unauthorized commercial purposes;
• Reverse engineer, decompile, or attempt to extract source code from the Service;
• Use automated means (bots, scrapers) to access the Service without permission;
• Circumvent any security or access controls. We reserve the right to investigate violations and take appropriate action, including suspending or terminating accounts and reporting illegal activity to law enforcement
Subscriptions and Payments
A. Free and Premium Tiers
Ondo offers both free features and premium subscription plans. Premium features and pricing are described within the app.
B. Billing and Renewal
Premium subscriptions are billed through the Apple App Store or Google Play Store. By subscribing, you agree to:
• Automatic renewal at the end of each billing period unless cancelled;
• Payment through your app store account;
• Price changes with reasonable notice (typically one billing cycle).
C. Cancellation
You may cancel your subscription at any time through your app store account settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until that date.
D. Refunds
Refund requests are handled by Apple or Google in accordance with their respective policies. We do not process refunds directly. If you believe you are entitled to a refund, please contact the applicable app store.
Disclaimer of Warranties
The service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:
• The service will be uninterrupted, secure, or error-free;
• Any defects will be corrected;
• AI-generated content will be accurate, complete, or suitable for any purpose;
• The service will meet your expectations or requirements.
You acknowledge that AI systems may produce unexpected, inaccurate, or inappropriate outputs, and you use such features at your own risk.
Limitation of Liability
To the maximum extent permitted by applicable law, Onda Labs and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the service. In no event shall our total liability exceed the greater of: (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Onda Labs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
• Your use of the Service;
• Your User Content;
• Your violation of these Terms;
• Your violation of any third-party rights.
11. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
A. Informal Resolution
Before initiating any formal dispute resolution, you agree to contact us at hello@ondalabs.co and attempt to resolve the dispute informally for at least thirty (30) days.
B. Binding Arbitration
If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in [Your State] or, at your election, via telephone or video conference.
C. Class Action Waiver
YOU AND ONDA LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
D. Opt-Out Right
You may opt out of the arbitration and class action waiver provisions by sending written notice to hello@ondalabs.co within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out. If you opt out, you may pursue claims in court.
E. Exceptions
Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.
12. Termination
You may terminate your account at any time by deleting it through the app settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:
• Your right to use the Service immediately ceases;
• We may delete your User Content in accordance with our Privacy Policy;
• Provisions that by their nature should survive (including Sections 5, 8, 9, 10, and 11) will remain in effect.
13. Modifications to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting an updated version within the app or by other reasonable means. Changes become effective upon posting unless otherwise specified. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
15. General Provisions
Entire Agreement:
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Onda Labs regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Notices: We may provide notices to you via email, in-app notification, or posting to the Service. You may contact us as provided below.
